Terms of Service

BoatPilot is a digital marketplace that enables boat charter operators ("Providers") to offer their rental services to end customers ("Users"). BoatPilot is not a party to the rental contract: it acts as a technology platform and payment facilitator through Stripe Connect.
1. Definitions
• "BoatPilot" / "Platform": the SaaS service and marketplace available at boatpilot.eu, owned by Orizzonti Web di Donà Mario. • "Provider" / "Charter": a legal entity (company or sole trader) using BoatPilot to publish, manage and sell its boat rental services. • "User" / "End customer": an individual or legal entity booking a rental service through the widget or the Provider's channels integrated with BoatPilot. • "Rental service": boat rental provided by the Provider, subject to the direct contract between Provider and User. • "Stripe": Stripe Payments Europe Ltd., payment processing provider integrated into BoatPilot through Stripe Connect. • "Connected Account": a Stripe account held by the Provider, linked to the BoatPilot platform, required to receive payments from Users.
2. Nature of the service — Marketplace
BoatPilot provides a technology platform that connects Providers and Users. BoatPilot: • Does not directly provide boat rental services. • Is not a party to the rental contract between the Provider and the User. • Is not responsible for the suitability, safety, quality or legality of the boats or services offered by Providers. • Facilitates payment between User and Provider through Stripe Connect, retaining a platform fee. Each Provider is an independent legal entity and solely responsible to the User for the execution of the rental service.
3. Roles and responsibilities of the parties
BoatPilot (Platform): provides the software infrastructure, booking interface, technical integration with Stripe, delivery of transactional communications. It is responsible exclusively for the correct functioning of the Platform. Provider (Charter): is responsible for the accuracy of published information (availability, prices, descriptions, policies), for the execution of the rental service, for compliance with applicable legal obligations in the sector (insurance, licences, safety, taxation), for handling cancellations, refunds and disputes with Users. User (End customer): is responsible for the accuracy of the data provided at booking, for the acceptance of the Provider's specific rental terms, for the payment of the agreed price.
4. Registration and Provider account
To publish services on BoatPilot, the Provider must register by creating a business account and supplying the required identifying data (company name, VAT/tax number, registered office, contacts). The Provider declares it has the powers and authorisations necessary to enter into this agreement and to carry out the rental activity. The account is personal and non-transferable. The Provider is responsible for safeguarding credentials and for any activity carried out through its account.
5. Plans and platform fees
Use of BoatPilot by Providers requires subscription to a monthly or yearly plan under the terms published at boatpilot.eu/prezzi. In addition to the plan, BoatPilot retains a "platform fee" (application fee) on every transaction successfully concluded between Provider and User. The fee amount depends on the subscribed plan and is available on the updated pricing page. Percentages may be changed with at least 30 days' notice to the Provider. The fee is automatically deducted through Stripe Connect at the time of the User's payment. The net amount is transferred to the Provider's account according to Stripe's payout schedule.
5.1 Free plan
The BoatPilot Free plan has no periodic fee. It is subject to numerical limitations (boats, users, skippers) published on the pricing page and may be modified or discontinued with 30 days' notice. The platform fee also applies to transactions on the Free plan.
6. Payments via Stripe Connect
User payments are processed by Stripe Payments Europe Ltd. through Stripe Connect in "destination charges" mode. The model provides that: • The amount paid by the User is credited directly to the Provider's Connected Account. • BoatPilot automatically retains the platform fee (application fee). • Stripe processing fees are borne by the Provider under Stripe terms. • Refunds, chargebacks and disputes are managed by the Provider through its own Stripe dashboard. By using BoatPilot and Stripe Connect, the Provider accepts the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal) and the User accepts the Stripe Services Terms (https://stripe.com/legal). BoatPilot has no direct access to full payment card data: such data are processed in a PCI-DSS compliant environment by Stripe.
7. Conditions for Users (End customers)
By making a booking through the BoatPilot widget, the User enters into a rental contract directly with the selected Provider. BoatPilot is not a party to that contract. • The User simultaneously accepts the specific rental terms of the Provider (published by the Provider itself) and this platform notice. • Cancellations, changes, refunds and resolution of any disputes regarding the rental service are managed by the Provider according to its commercial policies. • In case of a payment dispute (chargeback), the User is encouraged to contact the Provider first for amicable resolution. • In case of Platform or widget malfunction during booking, the User may contact [email protected] for technical assistance.
8. Limitations of liability
To the extent permitted by applicable law: • BoatPilot is not liable for breaches, delays, defects, damage or losses arising from the execution of the rental service by the Provider. • BoatPilot does not guarantee uninterrupted continuity of the Service and may carry out maintenance or update operations causing temporary unavailability. • BoatPilot's total liability to the Provider, on any basis, is limited to the amount paid by the Provider over the last 12 months for platform subscription. • BoatPilot disclaims any liability for indirect damages, loss of profits, loss of data or lost earnings. No limitation clause applies in case of wilful misconduct, gross negligence or infringement of mandatory rights of the consumer User.
9. Intellectual property
The software, trademark, logos, texts, graphical interfaces and documentation of BoatPilot are the exclusive property of Orizzonti Web di Donà Mario and are protected by copyright and industrial property laws. The Provider is granted a non-exclusive, personal, non-transferable and revocable licence to use the Service, limited to the duration of the contract and to normal use of the Service. Content uploaded by the Provider (boat photos, descriptions, etc.) remains its property; the Provider grants BoatPilot a free, non-exclusive licence, limited to publication on the Platform and to communications related to the service.
10. Protection of personal data
The processing of personal data carried out within the Service is governed by the Privacy Policy published at boatpilot.eu/privacy-policy, which forms an integral part of these Terms. The relationship between BoatPilot and the Provider concerning End customer data is governed by a Data Processing Agreement (DPA) provided on request.
11. Term, suspension and termination
The contract between BoatPilot and the Provider is for an indefinite term and is automatically renewed according to the subscribed plan. Either party may terminate at any time with effect at the expiry of the paid period, subject to the specific terms of the plan. BoatPilot may suspend or terminate the Provider's account in case of: breach of these Terms, non-payment, fraudulent or unlawful conduct, serious prejudice to the reputation of the Platform or of other Providers.
12. Changes to the Terms
BoatPilot reserves the right to amend these Terms at any time, giving the Provider at least 30 days' prior notice by email. Continued use of the Service after the effective date of the changes constitutes acceptance of them. In case of disagreement, the Provider may terminate without penalty.
13. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute concerning validity, interpretation, execution or termination shall be subject to the exclusive jurisdiction of the Court of Vicenza, except for the mandatory jurisdiction of the consumer's court where applicable.
